Airbooks Terms of Service

1. Introduction
These Terms of Service apply to your access to and use of Airbooks, including our website, web application, mobile application, accounting tools, bank feed tools, document processing features, support services, and any related products or services we make available from time to time.
By creating an Airbooks account, accessing Airbooks, connecting a bank account, uploading information, inviting users, or otherwise using the Service, you agree to these Terms.
If you use Airbooks on behalf of a business, company, trust, partnership, organisation, or other entity, you confirm that you have authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not use Airbooks.
2. Who we are
In these Terms, Airbooks, we, us, and our means the Airbooks legal entity that provides the Service to you.

3. Definitions
In these Terms:
Account Owner means the person or business that creates or controls an Airbooks account.
Akahu means Akahu Technologies Limited, New Zealand's open finance platform, which Airbooks uses to connect to financial accounts and retrieve bank account data.
Bank Feed Data means information obtained from a connected financial account, including account details, balances, transactions, transaction descriptions, dates, amounts, merchant information, and related metadata.
Business Data means information, records, files, accounting entries, invoices, bills, receipts, contacts, customer information, supplier information, Bank Feed Data, documents, and other data entered into, uploaded to, generated in, or processed through Airbooks.
Fees means subscription fees, one-off fees, usage fees, add-on fees, or any other amounts payable for use of Airbooks.
Loss includes loss of revenue, profit, savings, data, goodwill, business opportunity, or reputation, as well as any claim, damage, liability, demand, proceeding, penalty, cost, expense, or legal or professional fee.
Plan means the Airbooks subscription, package, trial, paid feature, add-on, or service level you select or are assigned.
Service means Airbooks and all related services, tools, features, integrations, websites, applications, APIs, support services, content, resources, and documentation.
Service Partner means a third-party provider whose services, systems, data, software, infrastructure, or integration are used by Airbooks or made available through Airbooks.
Subscription Period means the period covered by your Plan, such as a monthly billing period or another period shown when you subscribe.
Terms means these Terms of Service.
User means any person who accesses or uses Airbooks, including account owners, administrators, staff, contractors, advisors, invited users, and other authorised users.
4. Business use only
Airbooks is provided for business and trade purposes.
You confirm that you are using Airbooks for the purposes of a business, trade, occupation, or professional activity, and not primarily for personal, domestic, or household use.
To the maximum extent permitted by law, you and Airbooks agree that the New Zealand Consumer Guarantees Act 1993 does not apply to the supply of the Service or these Terms.
You and Airbooks agree that this is fair and reasonable because Airbooks is supplied as a business service.
Nothing in these Terms excludes or limits any right, remedy, guarantee, liability, or obligation that cannot legally be excluded or limited.
5. Account registration and authority
To use Airbooks, you may need to create an account and provide accurate information about yourself and your business.
You agree that:
a. all information you provide to us will be accurate, complete, and kept up to date; b. you have authority to create the account and provide information for the relevant business; c. you have authority to invite other users and grant them access to the business account; d. you are responsible for the actions of users you invite or permit to access your Airbooks account; and e. you will promptly update or remove users who should no longer have access.
If you add, edit, connect, or submit business, tax, bank, accounting, or contact information, you confirm that you have authority to do so.
6. Account security
You are responsible for keeping your login details, devices, passwords, verification codes, and account access secure.
You must:
a. use strong passwords and keep them confidential; b. not share your login details with anyone else; c. ensure each user has their own login where Airbooks supports individual user access; d. notify us promptly if you suspect unauthorised access or misuse; e. follow any reasonable security instructions we provide; and f. comply with any additional security requirements for sensitive features, including bank feed access.
We may require additional authentication, verification, or security checks before allowing access to certain features.
7. Changes to the Service and these Terms
Airbooks is a developing service. We may update, improve, replace, suspend, remove, or change parts of the Service from time to time.
We may also update these Terms. If we make material changes, we will take reasonable steps to notify you, such as by email, in-app notice, or notice on our website.
We may make urgent changes immediately and without advance notice where reasonably necessary for security, legal, operational, compliance, technical, or fraud-prevention reasons.
Your continued use of Airbooks after updated Terms take effect means you accept the updated Terms.
8. Plans, fees, and payment
Some parts of Airbooks may be free. Other parts may require payment.
The Fees for your Plan will be shown in Airbooks, on our website, in an order form, or in another written agreement with you.
Unless stated otherwise, Fees are in New Zealand dollars and exclude GST.
You agree to pay all applicable Fees when due.
Unless we clearly state otherwise, Airbooks paid subscriptions are offered on monthly or annual billing, renew automatically, and can be cancelled at any time.
You authorise us, and any payment processor we use, to charge your nominated payment method for all Fees due.
If payment fails or Fees are overdue, we may:
a. contact you to arrange payment; b. retry payment using the payment method you provided; c. suspend, restrict, or downgrade access to paid features; d. charge reasonable recovery costs, including third-party collection costs; and/or e. cancel your account in accordance with these Terms.
We will not charge you a subscription Fee unless the applicable Fee has been disclosed to you before you are charged.
9. Subscriptions, renewal, and refunds
Unless your Plan states otherwise, paid subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price.
You may cancel your subscription at any time through your Airbooks billing settings or by contacting us. Cancellation stops future subscription renewals.
If you cancel:
a. a monthly subscription — no refund is payable for the current month, and you may continue to access paid features until the end of the month you have already paid for; and b. an annual subscription — we will refund the unused portion of your annual Fee, calculated to the nearest complete unused month. Your current month is not refunded, and you may continue to access paid features until the end of that month. Refunds are made to your original payment method.
These refund rights do not apply where we cancel or suspend access because of breach, non-payment, misuse, security risk, or legal requirement, and they do not limit any rights you have under law.
10. Trials, beta features, and free services
We may offer free trials, early access, beta features, or free services.
These may be changed, withdrawn, limited, or discontinued at any time.
Beta or trial features may be incomplete, unstable, or subject to additional restrictions.
We may convert a free trial to a paid Plan only where you have been told the applicable Fees and have provided payment details or otherwise agreed to be charged.
11. Your responsibilities
You must use Airbooks lawfully, responsibly, and only for legitimate business purposes.
You must not:
a. use Airbooks for unlawful, fraudulent, misleading, harmful, or unauthorised purposes; b. interfere with or disrupt Airbooks, our systems, or third-party systems; c. attempt to bypass security, access controls, usage limits, or subscription restrictions; d. upload malware, malicious code, or harmful content; e. access, copy, scrape, reverse engineer, or misuse Airbooks except as permitted by law; f. infringe the rights of Airbooks, Service Partners, or any other person; g. use Airbooks to store or process information you are not authorised to use; h. misrepresent your identity, authority, business, bank account ownership, or relationship with another person; i. use Airbooks in a way that could damage our reputation, systems, security, or availability; or j. breach any applicable law, regulation, industry rule, third-party term, or these Terms.
12. Business Data
You own your Business Data.
You grant Airbooks a licence to host, store, copy, transmit, process, analyse, display, back up, and otherwise use Business Data to provide, secure, support, maintain, improve, and administer the Service.
You are responsible for:
a. the accuracy and completeness of Business Data; b. ensuring you have the right to upload, connect, submit, or process Business Data through Airbooks; c. reviewing accounting entries, bank feed matches, tax information, invoice information, and other outputs before relying on them; d. keeping copies of records you are legally required to retain; and e. ensuring your use of Airbooks complies with laws that apply to your business.
13. Access to transactional accounting data after cancellation
If you cancel your paid Airbooks subscription, we will not immediately delete your transactional accounting data.
Unless your account is deleted, suspended for serious misuse, or we are legally required to restrict access, we will make your transactional accounting data available for access and export for at least 12 months after cancellation.
For this purpose, transactional accounting data may include imported bank transactions, coded transactions, reconciled transactions, invoices, bills, receipts, journal entries, contacts, and other accounting records stored in your Airbooks account.
During this post-cancellation access period:
a. you may access your account for the purpose of viewing and exporting your transactional accounting data; b. you may not have access to all paid features, automations, bank feeds, integrations, reporting tools, or document processing features; c. active bank feed syncing may stop; d. we may limit access to read-only or export-only functionality; and e. we may require you to reactivate your subscription if you want to continue using Airbooks as an active accounting system.
You are responsible for exporting any data you need before the 12-month post-cancellation period ends.
After that period, we may delete, archive, anonymise, or restrict access to your data in accordance with our Privacy Policy, legal obligations, backup processes, and data retention practices.
This clause does not prevent us from retaining information for longer where reasonably required for tax, accounting, legal, audit, dispute, security, backup, or compliance purposes.
14. Accounting, tax, and business information
Airbooks provides software tools to help businesses manage accounting, bank feeds, documents, invoices, bills, records, and related workflows.
Unless we expressly agree otherwise in writing, Airbooks does not act as your accountant, bookkeeper, tax agent, lawyer, financial adviser, or auditor.
Airbooks does not provide legal, tax, accounting, financial, investment, or professional advice.
Any reports, classifications, matches, tax codes, GST treatment, transaction suggestions, invoice extraction results, explanations, reminders, or other outputs generated by Airbooks are provided to assist you.
You remain responsible for reviewing and confirming them before relying on them, filing tax returns, paying tax, making business decisions, or submitting information to Inland Revenue or any other authority.
You should obtain professional advice where appropriate.
15. Bank feeds and connected financial accounts
Airbooks may allow you to connect financial accounts so that transaction and account information can be imported into Airbooks.
Airbooks uses Akahu and may use other Service Partners to provide bank feed and open finance connectivity.
When you connect a financial account, you confirm that:
a. you have authority to connect that account; b. you are authorised to allow Airbooks and its Service Partners to access the relevant information; c. the information you provide during the connection process is accurate; d. if the account belongs to a business or another entity, you have authority to act for that entity; and e. you will comply with any third-party terms that apply to the connection.
Depending on the feature and consent you give, Airbooks may retrieve information such as account names, account numbers, balances, transactions, transaction descriptions, dates, amounts, merchant details, and related metadata.
Airbooks bank feeds are read-only.
Airbooks does not initiate payments from your connected accounts through Akahu. If we ever introduce a payment feature, it will not apply to your connected accounts unless we clearly tell you in advance and you separately authorise that feature.
16. Duration and scope of bank feed access
When you connect a bank account, Airbooks may retrieve historical transaction data and may continue retrieving updated transaction data until you disconnect the account, revoke access, delete your account, or the connection otherwise ends.
The exact scope, duration, and type of access may depend on:
a. the accounts you select; b. the permissions you approve; c. Akahu's consent flow; d. your bank or financial institution; e. your Airbooks Plan; and f. technical or legal limitations.
Airbooks will use Bank Feed Data to provide the Service, including importing transactions, displaying balances, reconciling transactions, categorising entries, matching payments to invoices or bills, generating reports, improving bank feed functionality, supporting you, and maintaining security and compliance.
17. Disconnecting bank feeds and revoking access
You may disconnect a connected account or revoke Airbooks' access at any time using the controls provided in Airbooks.
You may also revoke access directly through Akahu (my.akahu.nz) or, where supported, through your financial institution.
If access is revoked or a bank feed becomes unavailable, Airbooks may no longer be able to retrieve updated Bank Feed Data.
We may display the connection as inactive, disconnected, or requiring reconnection.
When access is revoked, Airbooks will stop collecting new Bank Feed Data from that connection and will delete access tokens and Akahu-sourced data that is no longer reasonably required.
However, Airbooks may retain information where reasonably required for legitimate business, accounting, tax, legal, audit, dispute, security, backup, or compliance purposes.
For example, transaction data that has been incorporated into your accounting records may be retained where it is reasonably required for your business records or our legal obligations.
18. Account deletion and bank feed access
If your Airbooks account is deleted, we will revoke associated Akahu access and stop further collection of Bank Feed Data, except where we are legally prevented from doing so or require limited information for legitimate legal, security, compliance, billing, dispute, or record-keeping purposes.
You are responsible for exporting or saving any Business Data you need before requesting deletion, unless we are required by law to provide access after deletion.
Account deletion is different from subscription cancellation.
If you cancel your paid subscription but do not delete your account, clause 13 applies and your transactional accounting data will remain available for access and export for at least 12 months, subject to these Terms.
19. Third-party services
Airbooks may integrate with or rely on third-party services, including Akahu, banks, payment processors, hosting providers, analytics providers, email providers, authentication providers, accounting systems, document processing tools, and other Service Partners.
Third-party services may have their own terms, privacy notices, fees, availability limits, security requirements, and support processes.
You agree to comply with any third-party terms that apply to your use of those services.
We are not responsible for third-party systems, data, outages, delays, errors, security incidents, pricing changes, account restrictions, or decisions made by third parties, except to the extent caused by our own breach of these Terms or where the law says we are responsible.
20. Document uploads, email forwarding, and extracted data
Airbooks may allow you to upload, email, forward, scan, or import documents such as invoices, bills, receipts, bank statements, or other records.
You are responsible for ensuring that:
a. you have the right to provide those documents to Airbooks; b. the documents do not contain information you are not authorised to disclose; c. forwarding rules or inbound email addresses are used securely; d. extracted information is reviewed before being relied on; and e. documents and extracted data are handled in accordance with laws that apply to your business.
Automated extraction, classification, matching, or processing may be incomplete or incorrect.
You must check important information before using it for payment, accounting, tax, reporting, or compliance purposes.
21. Resources, templates, and examples
Airbooks may provide resources, guides, templates, examples, checklists, explanations, suggested workflows, or sample documents.
These are provided for general information only.
They are not professional advice and may not be suitable for your specific circumstances.
You are responsible for deciding whether a resource is appropriate for your business and for obtaining professional advice where needed.
22. Support
We may provide support through email, chat, help articles, in-app support, or other channels.
Support availability, response times, and support channels may vary depending on your Plan.
We may access account information and Business Data where reasonably necessary to investigate, support, secure, or maintain the Service.
23. Community or public content
If Airbooks allows you to post comments, questions, reviews, feedback, or other content in a public or shared area, you must ensure that your content is lawful, accurate, appropriate, and does not infringe anyone's rights.
You must not post content that is defamatory, offensive, misleading, confidential, unlawful, harmful, threatening, harassing, discriminatory, obscene, or otherwise inappropriate.
You retain ownership of content you post, but you grant Airbooks a worldwide, royalty-free, non-exclusive licence to use, display, reproduce, publish, adapt, and distribute that content for the purpose for which it was provided and for operating, improving, and promoting Airbooks.
24. Feedback
If you provide ideas, suggestions, improvements, or feedback about Airbooks, we may use them without restriction or payment to you.
You agree that feedback is not confidential unless we have expressly agreed otherwise in writing.
25. Intellectual property
Airbooks and its licensors own all intellectual property rights in the Service, including software, design, interfaces, workflows, text, graphics, logos, documentation, templates, resources, data models, know-how, and underlying technology.
Subject to these Terms and payment of any applicable Fees, we grant you a limited, revocable, non-exclusive, non-transferable licence to use Airbooks for your internal business purposes during the period you are authorised to use the Service.
No rights are granted except as expressly set out in these Terms.
You must not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from Airbooks except where expressly permitted by law or by us in writing.
26. Privacy
We collect, use, store, and disclose personal information in accordance with our Privacy Policy.
Our Privacy Policy explains how we handle personal information, including information collected through Airbooks, account registration, support, website use, document processing, and connected financial accounts.
You must ensure that any personal information you provide to Airbooks, including customer, supplier, employee, contractor, or bank transaction information, is provided lawfully and with any required permissions or notices.
27. Confidentiality
Each party may receive confidential information from the other.
You and Airbooks must take reasonable steps to protect confidential information and must not disclose it except:
a. as permitted by these Terms; b. with the other party's consent; c. to professional advisers, contractors, employees, or Service Partners who need to know it and are subject to appropriate obligations; d. where required by law, a regulator, a court, or a government authority; or e. where the information is already public through no breach of these Terms.
28. Security and availability
We will take reasonable steps to protect the Service and Business Data.
However, no online service can be guaranteed to be completely secure, uninterrupted, or error-free.
You acknowledge that Airbooks may be affected by maintenance, upgrades, third-party outages, internet issues, bank outages, Akahu availability, software bugs, cyber incidents, force majeure events, or other events outside our reasonable control.
Where practicable, we will try to schedule planned maintenance at low-impact times and keep interruptions to a minimum.
29. Suspension or restriction
We may suspend, restrict, or limit access to all or part of Airbooks if we reasonably believe that:
a. you have breached these Terms; b. Fees are overdue; c. your account has been compromised or is at risk; d. suspension is needed for security, technical, operational, legal, or compliance reasons; e. your use may harm Airbooks, other users, Service Partners, or third parties; f. required third-party access has been suspended or revoked; or g. we are required or requested to do so by law, a regulator, a court, a bank, Akahu, or another relevant authority.
Where reasonable, we will notify you before or shortly after suspension.
30. Cancellation by you
You may cancel your paid subscription at any time.
Cancellation stops future subscription renewals. Any refund for time you have not used is calculated as set out in clause 9 — no refund for the current month, and for annual subscriptions a refund of the remaining complete unused months.
Cancelling your paid subscription does not automatically delete your Airbooks account or transactional accounting data.
After cancellation, clause 13 applies and your transactional accounting data will remain available for access and export for at least 12 months, subject to these Terms.
31. Cancellation by Airbooks
We may cancel your account or subscription by giving you reasonable notice.
We may cancel immediately if:
a. you materially breach these Terms; b. Fees remain unpaid after reasonable attempts to contact you; c. you misuse the Service; d. your account creates a security, legal, operational, or reputational risk; e. we are required to do so by law or by a relevant third party; or f. we discontinue the Service or a material part of it.
If we cancel a paid subscription for convenience before the end of a prepaid billing period, we will provide either continued access for the period paid or a pro rata refund for the unused portion, unless cancellation is due to your breach.
32. Consequences of cancellation or expiry
When your account or subscription is cancelled, expires, or is terminated:
a. your right to access paid features ends or may be limited; b. we may disable active accounting features, bank feeds, document processing, automation, reporting, or integrations; c. bank feeds and third-party integrations may stop; d. you may retain limited access to view and export transactional accounting data for at least 12 months after cancellation, as described in clause 13; e. we may retain, delete, anonymise, or archive Business Data in accordance with our Privacy Policy, data retention practices, legal obligations, and backup processes; f. you remain responsible for Fees and other amounts incurred before cancellation; and g. clauses intended to survive cancellation will continue to apply.
33. Data export
Where available, Airbooks may provide tools for exporting certain Business Data.
You may export your transactional accounting data at any time while your account remains active.
If you cancel your paid subscription, you may continue to export your transactional accounting data for at least 12 months after cancellation, subject to these Terms.
Export formats and availability may vary by feature and Plan.
We do not guarantee that all information, formatting, attachments, system metadata, logs, or third-party data will be exportable.
You are responsible for exporting information you need before requesting account deletion or before the end of any applicable post-cancellation access period.
34. Disclaimers
To the maximum extent permitted by law, Airbooks is provided on an "as is" and "as available" basis.
We do not guarantee that:
a. Airbooks will be uninterrupted, error-free, or always available; b. all defects will be corrected; c. Airbooks will meet every requirement of your business; d. bank feeds, third-party integrations, or imported data will always be accurate, complete, current, or available; e. automated matching, coding, extraction, tax treatment, categorisation, or suggestions will be correct; f. resources, templates, or examples will be suitable for your circumstances; or g. use of Airbooks will ensure compliance with tax, accounting, legal, banking, privacy, or regulatory obligations.
You use Airbooks at your own risk and remain responsible for reviewing outputs and making business decisions.
35. Limitation of liability
To the maximum extent permitted by law, Airbooks and its directors, employees, contractors, licensors, and Service Partners will not be liable for any indirect, consequential, special, incidental, punitive, or exemplary Loss, or for loss of profit, revenue, savings, goodwill, business opportunity, or data.
To the maximum extent permitted by law, Airbooks' total aggregate liability to you in connection with these Terms, the Service, or any related claim is limited to the greater of:
a. the Fees paid by you to Airbooks in the three months before the event giving rise to the claim; or b. NZ$100.
This limitation applies whether the claim arises in contract, tort, negligence, statute, equity, or otherwise.
Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot legally be limited.
36. Indemnity
You indemnify Airbooks and its directors, employees, contractors, licensors, affiliates, and Service Partners against Loss arising from:
a. your breach of these Terms; b. your misuse of the Service; c. Business Data you provide or process through Airbooks; d. your breach of any law or third-party right; e. unauthorised use of bank accounts, documents, personal information, or business information; or f. the acts or omissions of users you invite or authorise.
This indemnity does not apply to the extent the Loss is directly caused by Airbooks' breach of these Terms.
37. Third-party claims and bank/provider issues
Airbooks is not responsible for claims, losses, or disputes caused by your bank, Akahu, payment processors, internet providers, accounting partners, email providers, hosting providers, or other third parties, except to the extent caused by Airbooks' own breach of these Terms.
You acknowledge that third-party integrations may change, fail, be withdrawn, or become unavailable.
38. Taxes
Unless stated otherwise, Fees exclude GST and any other applicable taxes.
You are responsible for all taxes, duties, levies, and charges that apply to your use of Airbooks, except taxes based on Airbooks' income.
39. Force majeure
Airbooks will not be liable for delay or failure to perform caused by events outside our reasonable control, including natural disasters, power failures, internet outages, cyberattacks, war, terrorism, pandemic, labour disputes, government action, bank outages, third-party service failures, or infrastructure failures.
40. Assignment and transfer
You must not assign, transfer, or subcontract your rights or obligations under these Terms without our prior written consent.
We may assign, transfer, subcontract, or novate our rights and obligations under these Terms to another person or entity, provided this does not materially reduce your rights under these Terms.
41. Notices
We may send notices to you by email, in-app message, account notification, or by posting on our website.
You are responsible for keeping your contact details up to date.
A notice sent by email will be treated as received when sent, unless we receive an automated delivery failure notice.
42. Severability
If any part of these Terms is found to be invalid, unlawful, unfair, or unenforceable, that part will be modified to the minimum extent necessary to make it valid and enforceable.
If modification is not possible, that part will be treated as deleted.
The rest of these Terms will continue to apply.
43. No waiver
If we do not enforce a right under these Terms, that does not mean we waive that right.
A waiver must be in writing and applies only to the specific matter for which it is given.
44. Entire agreement
These Terms, together with any order form, Plan terms, Privacy Policy, and additional terms expressly agreed with you, form the entire agreement between you and Airbooks for your use of the Service.
45. Additional terms
Some features, integrations, add-ons, beta tools, payment services, bank feed services, partner services, or professional services may have additional terms.
If additional terms apply, we will make them available to you.
If there is a conflict between these Terms and additional terms, the additional terms apply to the relevant feature or service.
46. Governing law
These Terms are governed by New Zealand law.
You and Airbooks submit to the non-exclusive jurisdiction of the New Zealand courts.
47. Interpretation
In these Terms:
a. headings are for convenience only and do not affect interpretation; b. "including" and similar words do not limit what else may be included; c. the singular includes the plural and vice versa; d. a reference to a person includes a company, partnership, trust, organisation, or other entity; and e. a reference to law includes that law as amended, replaced, or re-enacted.
